2021 JR. CLTX ACADEMY

Academy Rules

  1. Academy Overview and Dates. CLTX LLC, doing business as CLTX Gaming (“CLTX”) will host the 2021 Jr. CLTX Academy (the “Academy”), a youth program featuring both competitive NBA 2K21 game play and youth development opportunities. The Academy will run for one (1) week, beginning September 20, 2021 through September 24, 2021 (“Academy Period”) and a maximum of twenty (20) Eligible Gamers (as defined below) will be permitted to participate.

 

  1. Eligibility Requirements. Eligible participants must be legal residents of the U.S. who, as of the first day of the Registration Period (defined below), are ages ten (10) through fourteen (14) years old (each, an “Eligible Gamer”). To participate, a parent or legal guardian (each, a “Guardian”) must register their Eligible Gamer in accordance with Section 4 below.

 

  1. Technical Requirements. Each Eligible Gamer must have consistent access to the following items :
    1. One (1) Xbox One console (any model) with a compatible gaming controller;
    2. One (1) NBA 2K21 video game for Xbox One (note: no other console will be permitted);
    3. One (1) subscription to Xbox Live;
    4. One (1) clean gamer account (i.e., no form of game ban in the past 365 days and clear of vulgar or inappropriate content);
    5. One (1) gaming headset or any other headset compatible with Xbox Live’s Game Chat;
    6. A reliable high-speed internet connection (speed subject to Eligible Gamer’s preference and/or availability; at least 100 Mbps download is recommended); and
    7. One (1) mobile device, tablet, laptop, or desktop computer to join meetings via Zoom. Video capabilities and paid Zoom subscription not required. Zoom meetings app is free to download and is available on both Apple App Store(https://apps.apple.com/us/app/zoom-cloud-meetings/id546505307) and Google Play (https://play.google.com/store/apps/details?id=us.zoom.videomeetings&hl=en_US); laptop or desktop users may join using the free Zoom meetings plugin (https://zoom.us/join).

 

  1. Registration.
    1. Registration Period. The registration period will begin at 8:30 a.m. ET on September 1, 2021 and end at 5:30 p.m. ET on September 17, 2021 (the “Registration Period”). The Academy will be open to participants on a first-come, first-served basis. To register an Eligible Gamer, his/her Guardian must completely fill out and submit (i) the Academy registration page electronically online through Eventbrite at https://www.eventbrite.com/e/jr-cltx-academy-tickets-162467002177 (the “Eventbrite Page”) (the “Registration Form”). By submitting the Registration Form, each Guardian represents and warrants that (1) they are registering for the Academy solely on behalf of their minor child; (2) their minor child meets the (x) Eligibility Requirements and (y) Technical Requirements set forth above; and (3) they provide consent for their minor child to participate in all aspects of the Academy, as set forth in these Academy Rules. Submission of the Registration Form does not guarantee entry into the Academy. CLTX will review complete Registration Forms on an ongoing basis during the Registration Period and may follow up with Guardians regarding any incomplete or missing information. On September 18, 2021, CLTX will notify each Guardian as to whether such Guardian’s Eligible Gamer has been successfully registered for the Academy (each, a “Registered Gamer”), and provide them with (A) the Participation Agreement they will be required to execute on behalf of their Registered Gamer, and (B) a schedule of Required Activities (as defined below), including dates and times. Using the information provided in the Registration Forms, CLTX will, in its sole discretion, assign each Registered Gamer to an Academy team, which will be comprised of a maximum of five (5) Registered Gamers. Placement on an Academy team does not guarantee that any Registered Gamer will be permitted to play their preferred position during any Seeding Game and/or Competitive Series (as defined below), and CLTX reserves the right to remove any Registered Gamer from the Academy for any reason at any time in its sole reasonable discretion.

 

  1. Academy Waitlist. In the event that completed Registration Forms are submitted on behalf of more than forty (40) Eligible Gamers (i.e., the Eventbrite Page is “sold out”), Guardians of Eligible Gamers should select the “waiting list” option on the Eventbrite Page to join the Academy waitlist (the “Academy Waitlist”) on a first-come, first-served basis. If for any reason, an Eligible Gamer selected to participate in the Academy is unable to participate or a Registered Gamer is removed from the Academy at any time during the Academy Period, CLTX may extend an offer via email or telephone to the Guardian of the next Eligible Gamer on the Academy Waitlist for whom completed Registration Forms have been received. The Guardian of any such Eligible Gamer must accept the offer within 24 hours of the time it is extended, or such offer shall terminate and CLTX may make a subsequent Waitlist Offer to the next Eligible Gamer on the Academy Waitlist.

 

  1. Registration Fee. There will be no registration fee for Registered Gamers to participate in the Academy. In consideration of the opportunity for their Registered Gamer to participate in the Academy, each Guardian agrees (a) that their Registered Gamer will comply with these Academy Rules, including but not limited to the Participation Commitment and Competitive Series Rules set forth below; and (b) to execute the Academy Participation Agreement.

 

  1. Participation Commitment.
    1. Required Activities. Registered Gamers agree to participate in the following Academy activities (the “Required Activities”):
      1. Academy Meetings (Monday and Friday). Registered Gamers will be required to participate in one (1) Academy meeting via Zoom (each, an “Academy Meeting”) on Monday and Friday during the Academy Period. Each Academy Meeting will be up to one (1) hour in duration, be presented by CLTX, and include discussion relating to health and wellness, gameplay challenges, and Educational Webinars (defined below). CLTX will make reasonable efforts to have a CLTX player and/or coach join at least one (1) Academy Meeting during the Academy Period. The specific CLTX players and/or coach will be selected by CLTX in its sole discretion, subject to availability.
      2. Educational Webinars (Tuesday, Wednesday, Thursday). Beginning the second day of the Academy Period, Registered Gamers will be required to attend one (1) educational webinar via Zoom (each, an “Educational Webinar”) on each of Tuesday, Wednesday and Thursday of the Academy Period. Each Educational Webinar will be up to one (1) hour in duration, be presented by CLTX, together with a professional in the esports industry.
  • Seeding Games (Tuesday, Wednesday, Thursday). Registered Gamers will be required to participate in one (1) team seeding game via Xbox Live (each, a “Seeding Game”) on each of Tuesday, Wednesday and Thursday during the Academy Period. Each Seeding Game will be approximately one (1) hour in duration, consist of game play against another Academy team, and be facilitated by CLTX. Seeding Games will be conducted in accordance with the Competitive Series Rules provided below.
  1. Competitive Series (Friday). Registered Gamers will be required to participate in one (1) competitive game series against another Academy team via Xbox Live (each, a “Competitive Series”) each day of the Academy Period. Registered Gamers will also be required to participate in up to two (2) Competitive Series on the Friday of the Academy Period (defined below). Each Competitive Series will be approximately one (1) hour in duration, monitored by CLTX and executed in accordance with the Competitive Series Rules set forth below.
  1. Daily Email. Each day during the Academy Period, CLTX will send the Guardians of Registered Gamers an email (the “Daily Email”) with a schedule of that day’s Required Activities, including all relevant dates, times, and login information, and all Seeding Game or Competitive Series score results from the previous day(s).
  2. Absences. If a Registered Gamer is unable to attend any Required Activity, their Guardian must notify CLTX via email at least 24 hours in advance of each such absence. No Registered Gamer will be permitted more than one (1) absence from Required Activities during the Academy Period.

 

  1. Inappropriate Conduct. CLTX has zero tolerance for any behavior that: (a) is sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) is obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defames or invades publicity rights or privacy of any person, living or deceased, or otherwise infringes upon any third party’s or prize provider’s personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) is inconsistent with the positive images and/or goodwill to which CLTX and/or the NBA 2K League wishes to associate, as determined by such parties in their sole and absolute discretion; and/or (e) otherwise violates the terms of any of the agreements that the Guardians and Registered Gamers have agreed to comply with as participants in the Academy, including but not limited to the Participation Agreement, Microsoft’s Code of Conduct, Xbox’s Community Standards, and Zoom’s Acceptable Use Policy. In the event a Registered Gamer engages in any of the foregoing, CLTX will have the right to remove such Registered Gamer from the Academy and may impose other consequences, including disqualification from any and all existing and future programs of CLTX.

 

  1. Competitive Series Rules.
    1. Schedule; Initiating Gameplay. Competitive Series must be played on the date and time specified in the Competitive Series schedule provided by CLTX. Approximately 15 minutes prior to each Competitive Series, CLTX will initiate an Xbox Live party chat (each, a “Chat”) and invite all Registered Gamers on the participating teams to join the Chat. Such Registered Gamers must join the Chat at least 10 minutes before the scheduled time of the Competitive Series. Approximately five (5) minutes prior to the Competitive Series, CLTX will record attendance and instruct the “home team” of the Competitive Series to initiate gameplay. Participating teams will be permitted to take up to a 10-minute break between each game in a Competitive Series. If a team fails to return to gameplay within 10 minutes, they will forfeit such game.
    2. Format and Stages.
      1. Structure. Competitive Series will be played on a “best-of-one” basis (e.g., the first team to win one (1) game is the winner of the Competitive Series). Notwithstanding the foregoing, the Finals Series will be played on a “best-of-one” basis (e.g., the first team to win one (1) game is the winner of the Finals Series). Each team will be designated “home” or “away,” as set forth in the Competitive Series schedule provided by CLTX. Game mode for Competitive Series to be determined by CLTX in its sole discretion following the Registration Period.
      2. Group Stage. The first stage of competitive game play is the Group Stage in which every team in the Academy will have the opportunity to play three (3) other teams and compete for the best overall Competitive Series record. Competitive Series outcomes during the Group Stage will be counted as a single win or loss.
  • Playoff Stage. Following the conclusion of the Group Stage, teams will be seeded for the “Playoff Stage” by CLTX, in its sole discretion, using the following criteria: (a) Competitive Series record during the Group Stage (i.e., Competitive Series wins and losses); (b) point differential across all games played within each Competitive Series (e.g., if two teams have the same record, the team that won the Competitive Series by a higher average number of points will be ranked higher); and (c) if necessary, a coin flip by CLTX. The Playoff Stage will be single elimination (i.e., only the winning team of each Competitive Series will progress through this stage). Playoff Stage rounds will include the following: (i) two Semifinals Series, (ii) one Consolation Series, and (iii) one Finals Series. During the Semifinals Series, the team ranked 4th overall will compete against the team ranked 1st overall and the team ranked 2nd overall will compete against the team ranked 3rdoverall. Teams that win a Semifinals Series during the Playoff Stage will advance to the Finals Series, but teams that lose a Semifinals Series during the Playoff Stage will compete for third place in the Consolation Series.
  1. Score Reporting. Each team will be required to submit a screenshot of the score results from each game in a Competitive Series to CLTX within 30 minutes following the conclusion of the applicable Competitive Series. CLTX will be responsible for recording outcomes and will share such outcomes with the Academy via the Daily Email. During the Playoff Stage, CLTX will distribute score reports within a reasonable period of time following each Competitive Series.
  2. Multiple Registered Gamers are not permitted to share the same account. Each Registered Gamer must play each Competitive Series using their registered gamertag on their registered team and will not be permitted to play on more than one (1) team during the Academy.
  3. Team Player Selection. During each game of each Competitive Series, the designated “home team” will have the first opportunity to select their NBA 2K team. No teams will be permitted to select the same NBA 2K team twice during the Academy.
  4. Positions. Registered Gamers are permitted to play any of the five (5) available positions during any Competitive Series and may change positions for each game of a Competitive Series. However, no Registered Gamer is guaranteed the opportunity to play any specific position during any Competitive Series.
    1. Communication. Registered Gamers are only permitted to communicate with their teammates and opponents through Zoom. All Registered Gamers are prohibited from using inappropriate language, regardless of context. Inappropriate language includes, but is not limited to, the following: (i) excessive profanity; (ii) pseudo-profanity (i.e., replacing letters in profane words or phrases), racial/ethnic or cultural slurs; (iii) sexual innuendos; and (iv) drug/alcohol references.
  1. Cheating. In connection with any Competitive Series, Registered Gamers are not permitted to use any third-party programs that may, as determined in CLTX’s sole discretion, provide a Registered Gamer or Academy Team with an unfair advantage. Such programs include but are not limited to multihacks, wallhack, aimbot, triggerbot, colored models, no-recoil, no-flash, sound changes and macros. Use of any robots or other system to automate participation, or otherwise participate unfairly, is also prohibited. If a Registered Gamer believes his/her opponent is cheating or otherwise violating these Competitive Series Rules, such Registered Gamer should notify CLTX. Registered Gamers found to be cheating will be removed from the Academy in CLTX’s sole discretion. If cheating occurs during a Competitive Series, (i) the offending team will forfeit any impacted game, and (ii) the non-offending team will be awarded a victory, with a score of 1-0. Notwithstanding the foregoing, CLTX may require any such game or series to be replayed, in whole or in part, in its sole discretion.
    1. Absences. In the event a Registered Gamer is absent from any game during a Competitive Series, Xbox One’s built-in computer player will play such game in their absence. In the event that all Registered Gamers on a team are unavailable for any game during a Competitive Series, such team shall forfeit said game, with a final score of 1-0 for such game(s).
  1. Series Broadcasting. Registered Gamers will not be permitted to record, stream, or otherwise broadcast any Academy events, including any Competitive Series, on any platform (e.g., Twitch, YouTube, Facebook, Instagram YouTube).
  2. Technical Difficulties.
    1. If a Registered Gamer’s connection disconnects or lags out (e.g., stutters, drops in frame rates, or delays) prior to tip-off, such player should notify CLTX and the other Registered Gamers participating in the series via the Chat and the teams will be required to quit the game and reconnect for a new game.
    2. If a Registered Gamer disconnects during gameplay, teams must immediately note the current score of the game and remaining time, and report such information to CLTX in the Chat. For the sake of clarity, teams may not count any points that occur after any Registered Gamer has disconnected. The teams should then restart the game and play for the amount time (rounded to nearest minute) that remained in the disconnected game. CLTX will then add the scores from the disconnected game to the score from the remaining game time to determine the final score. For example, if Team A and Team B are competing against each other and a Registered Gamer from Team A disconnects at halftime, with Team A leading by 3, the teams should reconnect and play only one half of another game. If Team B is leading by 2 at the end of this second half of gameplay, Team A will win the game by 1 point. However, in the event this results in a tie, the teams will be required to play a new game, which will replace the results of the tied game.
  • If a Registered Gamer’s connection lags during gameplay, teams should continue gameplay. In the event that CLTX otherwise determines in its sole discretion that NBA 2K is not performing optimally during a game, such game may be replayed, in whole or in part, or if necessary, rescheduled by CLTX in its sole discretion.
  1. Additional Rules; Disputes. CLTX reserves the right to add, remove, or otherwise amend the Competitive Series Rules, without prior notice, in its sole discretion and will notify Guardians via email following any such changes. Any and all gameplay disputes arising out of or connected with any Seeding Games or Competitive Series will be resolved by CLTX in its sole discretion.

  1. Prizing for Finals Winners.
    1. First Place Prizes. The Guardian of each Registered Gamer on the team that wins the Finals Series (each, a “First Place Prize Winners”) will receive (a) one (1) digital code, which will be redeemable for one (1) Zipchair Xpression gaming chair from Zipchair.com (approximate retail value (“ARV”) $499, which will be provided by DreamSeats, LLC, doing business as Zipchair ( the “First Place Prize”). First Place Prize is subject to certain restrictions, which will be provided to each First Place Prize Winner.
    2. Other Prizes. The Guardian of each Registered Gamer on a team that participates in the Semifinal Series that does not win the Finals Series (e.g., the second place team, the third place team and the fourth place team) (“Other Prize Winners,” and, together with the First Place Prize Winners, the “Prize Winners”) will receive one (1) one-hundred-dollar ($100) gift card to purchase Xbox One games or products, which will be redeemable for up to $100 worth of Xbox One products or games, with the specific store to be determined by the CLTX in their sole discretion (ARV $100.00) (the “Other Prize”). The Other Prize is subject to certain restrictions, which will be provided to each Other Prize Winner.
    3. Total Number of Prizes; Odds of Winning. There will be a total of (a) five (5) First Place Prize Winners, and (b) up to fifteen (15) Other Prize Winners (depending on the total number of Registered Gamers). The Seeding Games and Competitive Series are skill-based competitions; odds of winning a prize depend on the number and quality of Registered Gamers participating in the Academy.
    4. Delivery of Prizes. Prizes will be delivered via email to Prize Winners within a reasonable time following their release to the general public.

 

  1. Additional Prize Terms. Each Guardian and their respective Registered Gamer must comply with the Academy Rules to be eligible to receive a prize. Each Prize Winner is solely responsible for all applicable federal, state, and local taxes and any expenses associated with any prize and may be responsible for pre-paying taxes prior to receiving the prize. CLTX shall have the right, but not the obligation, to make any deductions and withholdings that CLTX deems necessary or desirable under applicable federal, state, and local tax laws, rules, regulations, codes, or ordinances. An IRS Form 1099 or IRS Form W2G may be issued in the name of each Prize Winner for the actual value of the prize received. Each Prize Winner must show a photo ID upon CLTX’s request to redeem the prize.

 

  1. Liabilities and Dispute Resolution.
    1. CLTX is not responsible for the actions of Registered Gamers in connection with the Academy, including attempts to circumvent the Official Rules or otherwise interfere with the administration, safety, security, fairness, integrity, or proper conduct of the Academy. Persons found tampering with or abusing any aspect of the Academy, including any Competitive Series, or whom CLTX believes to be causing malfunction, error, disruption or damage may be removed in addition to other possible consequences, including disqualification from any and all existing and future programs of CLTX. CLTX reserves the right, in its sole and absolute discretion, to remove, disqualify or terminate the prize of any individual who is found to be, or suspected of, acting in violation of these Academy Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person.
    2. By registering their child to participate in the Academy, Guardians each agree that (i) CLTX maintains the right to decide all matters and disputes arising from the Academy, (ii) CLTX’s determination of the Prize Winners will be final and binding, and (iii) to hold harmless and indemnify CLTX, Banner Seventeen, LLC (doing business as the Boston Celtics), the Boston Celtics Shamrock Foundation, Inc., the NBA 2K League and its Member Teams, the National Basketball Association and its Member Teams, NBA Properties, Inc., NBA Media Ventures, LLC, Take-Two Interactive Software, Inc., and their respective parents, subsidiaries, affiliates, directors, officers, governors, owners, agents, successors and assigns (collectively, the “Released Parties”) from and against any liability, damages, or causes of actions (however named or described), with respect to or arising out of: (x) their child’s participation in the Academy, including, but not limited to, personal injury, death and/or property damage, as well as claims based on publicity rights, defamation and/or invasion of privacy; and (y) the delivery, misdelivery, acceptance, possession, use of, misuse of, or inability to use any prize (including any type or manner of costs or damages), whether under a theory of contract, tort (including negligence), warranty, or any other theory. By accepting a prize, each Prize Winner agrees that the Released Parties will have no liability and will be held harmless by such Prize Winner for any liability, loss, injury, or damage to property or to person, including death, due in whole or in part, directly or indirectly, by reason of the acceptance, participation in, use or misuse of the prize or participation in the Academy, even if caused or contributed to by the negligence of any of the Released Parties.
    3. By registering their child to participate in the Academy, Guardians each agree, to the extent permitted by applicable law, that: (a) any and all disputes, claims and causes of action arising out of or connected with the Academy or any prizing awarded, will be resolved individually, without resort to any form of class action; and (b) such individual hereby knowingly and expressly waives on behalf of themself and their Eligible Gamer, all rights to seek, punitive, incidental, exemplary, consequential or special damages, lost profits, and/or any right to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Academy Rules or the rights and obligations of the Eligible Gamer and their Guardian in connection with the Academy will be governed by and construed in accordance with the internal laws of the State of Massachusetts, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. The forum and venue for any dispute shall be in Massachusetts.

 

  1. Privacy. Guardians may be contacted to provide additional information and/or to have their child’s information verified. CLTX reserves the right to request and require additional information from potential participants in order to register for the Academy. Personally identifiable information that is submitted by Guardians to CLTX in connection with the Academy will only be used to administer the Academy and select and award the Prize Winners, and will be treated in accordance with the following privacy policies: http://www.nba.com/news/privacy_policy.html; https://www.eventbrite.com/support/articles/en_US/Troubleshooting/eventbrite-privacy-policy?lg=en_US; and https://www.docusign.com/company/terms-and-conditions/web.

 

  1. Miscellaneous.
    1. CLTX reserves the right to change these Academy Rules at any time, in its sole discretion, and to suspend or cancel the Academy, or any part thereof, or any Registered Gamer’s participation therein, for any reason, including, without limitation, if viruses, bugs, unauthorized human intervention or other causes beyond CLTX’s control affect the administration, security or proper execution of the Academy, or CLTX otherwise becomes (as determined in the CLTX’s sole discretion) incapable of running the Academy as planned. ALL DATES, TIMES, AND PRIZES ARE SUBJECT TO CHANGE, WITHOUT NOTICE, IN CLTX’S SOLE DISCRETION. CLTX will not be responsible for problems with any Required Equipment. In the event of the ROM freezing or other equipment, hardware or software failure during one of the Academy games/stages, CLTX may take whatever action it determines necessary or desirable (in the sole discretion of CLTX) to correct or remedy the failure or impact thereof, including but not limited to switching to a different system on-stage and/or restarting the game/stage with the same or similar settings.

    3. The invalidity or unenforceability of any provision of these Academy Rules or the Required Documentation will not affect the validity or enforceability of any other provision. In the event that any provision of the Academy Rules or the Required Documentation is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained therein. CLTX’s failure to enforce any term of these Academy Rules will not constitute a waiver of that or any other provision. Guardians of Registered Participants agree on behalf of their Registered Participants to waive any rights to claim ambiguity of these Academy Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Academy-related materials, privacy policy, and/or terms of use, the Academy Rules shall prevail, govern, and control, and the discrepancy will be resolved in CLTX’s sole and absolute discretion.
